Telecommunications Development Fund (“TDF”) maintains the www.tdfventures.com web site (the “Site”) as a service to the investor community, entrepreneurs, and the interested public. Access to the Site and use of the information provided on the Site (the “Content”) is subject to these Terms and Conditions of Use.
1. Ownership, Copyright and Trademark
Unless otherwise noted, the Site and the Content are the property of TDF and are protected from unauthorized copying and dissemination by United States copyright and trademark laws, international conventions and other intellectual property laws. B. You agree to indemnify and hold TDF harmless from all claims, costs, damages and liabilities (and all expenses and costs incurred in connection therewith) asserted by anyone based on your use of the Site.

No part of the Site may be reproduced or transmitted, in any form or by any means (including electronic or mechanical or by photocopying or recording), except that you are authorized to view, copy, download, and print Content from the Site, subject to the following conditions:

TDF believes that the information on the Site is accurate when posted. However, TDF makes no representation or warranty, express or implied, and undertakes no obligation to assure, that the information on the Site is accurate, does not contain technical or typographical errors, or is current or up to date at the time of viewing.
6. Claims of Infringement

A. Send a written request to TDF’s Agent for Intellectual Property Issues identified in Section 7 below, in accordance with the notice provisions of Section 9 below.

C. Identify the material on the Site that you believe infringes that copyright, trademark, service mark, or other intellectual property right by providing a copy or any other information (e.g., URL) that will allow TDF to locate it;
D. Include your name, address, telephone number and other contact information; and
E. Include a signed statement that you are either the owner or the authorized agent of the owner of the copyright, trademark, service mark, or other intellectual property right that you believe is being infringed, that you have a good faith belief that the use is not authorized and that the information and claims are submitted “under penalties of perjury.”

B. In responding to a request under Section 6 above, TDF shall use the address and contact information provided in response to Section 6.D above. Notices shall be deemed to be received on the date of personal delivery, one day after deposit with a reputable overnight delivery service or, if sent by telecopy, upon return of confirmation of receipt.

15. Governing Law
These Terms and Conditions of Use, and all questions arising out of or relating to them, shall be governed by and construed in accordance with the laws of the District of Columbia, United States of America, without giving effect to the conflict of laws provisions thereof.
Any dispute, controversy or claim arising out of or relating to the use of the Site or these Terms and Conditions of Use shall be resolved by arbitration. Regardless of the amount in dispute, the arbitration shall be conducted by a single arbitrator selected by the parties or, if they cannot agree, by a single arbitrator selected in accordance with the Commercial Arbitration Rules of the American Arbitration Association without regard to the amount in dispute. The arbitration shall be conducted in English, in accordance with the Commercial Arbitration Rules of the American Arbitration Association, in Washington, DC. The decision of the arbitrator shall be binding and enforceable by any state or federal court in the District of Columbia, and you hereby consent to the personal jurisdiction of any state or federal court in the District of Columbia for that purpose. The expense of the arbitration (excluding each party’s own attorneys’ fees, costs and related expenses) shall initially be paid in equal shares by each side, but the total of such expenses plus any award of attorneys’ fees, expenses and costs shall finally be paid by the parties as the arbitrator determines. Nothing in this Section 16 shall preclude TDF from seeking provisional or equitable relief from any appropriate court to protect its rights prior to, pending or in the absence of such arbitration proceedings.
The invalidity or unenforceability of any provision of these Terms and Conditions of Use shall not affect the validity or enforceability of any other provision of these Terms and Conditions of Use.
18. Entire Agreement
These Terms and Conditions of Use constitute the entire Agreement between you and TDF with respect to the use of the Site and supersede all previous and contemporaneous representations, negotiations, writings and understandings, if any, relating to such subject matter. These Terms and Conditions of Use may not be amended or modified except by TDF posting a change to the Terms and Conditions of Use displayed on the Site.
